January 2005

· Name of group
The group will be called the Friends of South Molton Community Woodland.

· Aims of the group
To maintain and enhance South Molton Community Woodland for the benefit of the local community, wildlife and the natural environment.

· Membership
Membership of the group is open to any individual, family or organisation interested in furthering the aims of the group, with the approval of the existing members and in accordance with the equal opportunities policy of the group. The group reserves the right to refuse membership. Each membership is entitled to 1 vote.

· Committee
Committee members
There will be not less than 3 and not more than 15 committee members who will meet at least four times a year. The quorum for the committee will be more than half the existing committee members or 6 committee members, whichever is the lower.
Only committee members over the age of 16 may be responsible for the finances of the group.
Under normal circumstances any committee member not participating in half the annual number of committee meetings would be asked to resign from the committee. In the event of any committee member resigning or leaving the committee the remaining committee would be able to co-opt new committee members from the general membership to act until the next AGM.
A sub-committee may be formed to take forward action points from the main committee at the discretion of the main committee. Actions of sub-committee must be agreed by the main committee.

Selection / Election
At each AGM, a new committee and officers will be elected from the members. These will be active for one year or until the next AGM.

· Finances
Membership
There is a voluntary membership subscription of £1 per annum for individuals or families. Organisational membership of Friends of South Molton Community Woodland is £10 per annum.
Membership rates will be reviewed annually after the AGM by the new committee

Expenses
Expenses and ongoing admin costs incurred in carrying out the purposes of the group may be reimbursed by the treasurer on submission of receipts. This is at the discretion of and with the agreement of the committee and depends on the group holding sufficient funds.
Larger expenses such as commissioning a management plan for the woodland will depend on fundraising and grant applications. These will be identified and submitted by the committee or a sub-group and again are at the discretion of and with the agreement of the committee.

Bank Account
A charities account in the name of Friends of South Molton Community Woodland will be held at the South Molton branch of Lloyds Bank. Actions on the account can be instructed by 2 of 4 signatories. The number or identity of signatories may be altered at the discretion of and with the approval of the
committee.

· Meetings
Day to day running of the group and management decisions for the woodland will be agreed by the committee which will meet at least 4 times a year. A special meeting may be called at any time by any 2 committee members giving at least 4 days notice. General members will be able to attend committee meetings on application to and at the discretion of the committee.
There will be 1 AGM per year at which the management committee for the following year will be elected from the members.
A Special general meeting (SGM) with a quorum of one third of the membership may overturn decisions of the AGM. An SGM may be called by a minimum of 6 members submitting written notice at least 1 month before the meeting.

· Review & updating of rules & regulations
Amendments to the constitution can be adopted by vote at an AGM or SGM. Any suggestions should be submitted to the secretary in writing 14 days before the meeting.

· Dissolution of the group
The group can be dissolved by agreement at an AGM or SGM. The bankers will hold any outstanding funds until they can be redistributed at the discretion of the committee.
